Directors

Hi all,

My directors has asked me this and its out of my knowledge so I was wondering if anyone can offer advice, although I have advised him to ask his accountant direct but its just for some guidelines at the moment.

The company I work for is limited and has 3 directors, one of them is leaving the company and is going to consult for us, but we were sure if we needed to change his direct status as my managed seemed to think you can't have a director working an outside consultant or something like that.

So i wondered what would be the implications if he stayed as director and just worked for us? or should he not be director or be non-executive but what are the changes to his rights with this?

Many thanks appreciate your help

Regards

K

Hi Keri
Is the company registered in England and Wales? Or somewhere else (Jersey?)

Thoughts are my own/not to be regarded as official advice, which should be sought from a suitably qualified Accountant.

I don't have knowledge of Jersey Law governing companies, but I found this.....www.bedellgroup.com/siteFiles/resources/docs/insights/Briefings/Company%20and%20Commercial%20-%20Jersey%20Briefings/anoverviewofjerseycompanylaw.pdf

Page two mentions Directors, but worth a read of the rest.

Should answer your query.
