Late Filing Fees
 

Firstly hey guys!

Secondly, I'm the sole director of a small business that hasn't traded yet and it registered Dormant. I don't visit the Registered Office too regularly and managed to miss the notices to file my accounts and it become overdue and I owe for two months of arrears (i.e. £300-and-something). The company cannot afford this (obviously).

I believe that applying to be struck off the register would mean that Companies House won't pursue the fees, however if I wanted to reinstate the company it'd cost £100.

Is there anything else that can be done?

Any advice would be greatly appreciated.

Hi Jordan

If the company has been issued a late filing penalty then there is nothing that can be done to avoid this.

If you want you could strike off the company (provided there is no creditors which if the company has never traded there wont be).  Would firstly get clearance from HMRC to wind up as they will probably object to any wind up unless they agree in advance.

As you say you could reinstate the company later for a cost or possibly you could set up a new company with the same name which you can do for about £40 or so.

So even if I wind up, I'd still have to pay the fees?

On a dormant company you would not be pursued for the penalties if you do a wind up. In fact I am surprised Companies House haven't already struck it off!

As said above you can then form a new company with the same name (I assume that is what you are protecting) at a later date.

Hi Jordan

As phil says if the company is wound up then the late filing penalties would not be pursued.

But there would be a cost of reinstating the company or starting a completely new one.
